“The Company continues to act as a sales and marketing service provider and recharges its operating expenses using a 6% uplift (2023: 6%) to STMicroelectronics International N.V. in accordance with an inter-company agreement. No changes are expected this agreement, which will continue at least until 31 December 2026. The Directors have reviewed forecast information available for the period through to 31 December 2026. The Company conducted forecasts and applied stress testing to those scenarios. On the basis of their assessment of the Company's financial position and resources and analysis of the forecast information available for the period through to 31 December 2026, the conclusion reached was that sufficient financial resources existed within the Company to meet its liabilities and the Company is well placed to manage its business risks. Therefore, the Directors continue to adopt the going concern basis of accounting in preparing the annual financial statements. At 31 December 2024, the Company had net assets of £7,261,000 (2023: £6,535,000) and a short-term intercompany loan of £5,000,000 (2023: £5,000,000).”
