“The company is an intermediate holding company and has a limited working capital requirement. The principal financial obligations relate to the servicing of intra group balances. At 31 December 2023 the company has net current liabilities of £30.4 million (2022 - £30.2 million), including £30.6 million (2022 - £29.4 million) due to fellow group undertakings. The company is owned by Altus Intervention AS, a company registered in Norway. Prior to 3 April 2023, the company's ultimate parent company was Altus Intervention Holding AS, a company incorporated in Norway. Subsequent to 3 April 2023, the company's ultimate parent company is Baker Hughes Company, a company incorporated in Delaware. Baker Hughes Company is considered to be the ultimate controlling party. The company has access to the Altus Intervention group funding arrangements and participates in the Altus Intervention group's centralised treasury arrangements. The directors have received written confirmation from Baker Hughes Holding LLC, an intermediate parent company, that confirms that Baker Hughes Holding LLC will provide financial support as required for a period of at least 12 months of the date of approval of these financial statements. The directors have no reason to doubt the ability of the group to continue as a going concern and its ability to operate within available banking arrangements. The directors, having considered the foregoing, are confident that the company has adequate resources to continue to trade as a going concern for at least 12 months from approval of the accounts. Accordingly, the financial statements continue to be prepared under the going concern basis. The directors have considered the financial position and performance of the Baker Hughes group as a whole and have liaised with the directors of the wider Baker Hughes group in coming to this decision.”
