Material uncertainty over going concern
As explained in note 14 to the financial statements under the LPA, the fund had an initial term of 5 years from the final closing date (which was no later than 30 September 2014). Pursuant to the LPA, the term was extended for a further two consecutive 2-year periods (a further 4 years in total). Accordingly, the fund continued for a period of 9 years from no later than 30 September 2014 and ended on 30 September 2023 at the latest. As the fund has technically terminated under the terms of the LPA, Truestone Impact Investment Management Limited (the "fund's manager" or "Truestone") is currently acting as liquidator of the fund, ensuring that no further business is conducted other than winding up the affairs of the fund and distributing the fund assets among the partners in accordance with the LPA. Accordingly, these accounts have not been prepared on a going concern basis.
