“The LLP has generated a profit for the year ended 31 December 2024 of £8.0m (2023: £nil) and has net current liabilities attributable to Members of £111.0m (2023: £nil). The financial statements have been prepared on a going concern basis which the Members consider to be appropriate for the following reasons. The Members have analysed cash flow forecasts for a period of at least 12 months from the date of approval of these financial statements which indicate that, taking account of reasonable possible downsides, the LLP will have sufficient funds and in downside cases through funding from Legal and General Assurance Society Limited to meet its liabilities as they fall due for that period. As at 31 December 2024, the LLP started to receive dividend income from the underlying PBSA property portfolio and has been able to more than cover its administrative expenses. The Members expect this to continue for 12 months from the date of approval of these financial statements. Legal and General Assurance Society Limited has indicated its intention to continue to make available such funds as are needed by the LLP for the period covered by the forecasts. As with any LLP placing reliance on other group entities for financial support, the Members acknowledge that there can be no certainty that this support will continue although, at the date of approval of these financial statements, they have no reason to believe that it will not do so.”

• “On 28 March 2025, Legal & General Student Living Limited (REITCo) entered into an agreement to acquire a purpose-built student accommodation asset located in Nottingham. As part of the transaction structure, Legal and General Assurance Society Limited extended a loan facility of £44 million to the LLP to support the acquisition. Concurrently, the LLP subscribed for shares in REITCo for an equivalent amount.”
• “On 25 September 2025, the LLP issued Rated Income Notes (RIN) of £72.7 million and Residual Value Notes (RVN) of £94.4 million to its immediate parent company, Legal and General Assurance Society Limited. Both instruments remain outstanding as at 31 December 2025 and have a maturity date of 15 December 2065.”
