• “On 28 February 2025 TKO Group Holdings Inc ("TKO") completed the acquisition of various IMG, On Location Events and Professional Bull Riders businesses from its parent company Endeavor Group Holdings Inc. ("EGH"). PIMGSA LLP is part of the IMG entities included in this acquisition transaction.”
• “On 24 March 2025, Silver Lake and its affiliates completed the previously announced acquisition (the "Endeavor Take-Private Transaction") of EGH, as described in a Current Report on Form 8-K filed by EGH on 24 March 2025.”
• “Prior to this transaction, intercompany balances held between the Partnership and the entities remaining in EGH were required to be settled ahead of the TKO transaction. An analysis of the intercompany balances in scope for settlement was performed by external advisors who recommended appropriate steps to settle the balances. As a result of this analysis some balances were settled on a gross basis rather than net as was the Partnership's previous intention. Accordingly, these balances have been reflected as gross in the balance sheet as at 31 December 2024 with an impact to the Accounts Receivable and Accounts Payable balance of £604,174.”
