“During the year ended 31 December 2024 and up to the date of the approval of these financial statements, inflation rates had moderated but remained above historical averages. Fluctuations in interest rates had created a climate of uncertainty among investors, and had resulted in less predictable market conditions during the year. The ongoing conflicts between Russia-Ukraine and Israel-Gaza have significantly heightened geopolitical tensions, impacting global markets, trade and investor confidence. The members have assessed the impact of these factors on the LLP and in particular the expected fee income over the coming months. Transactional and performance based revenues are expected to continue to be received at similar levels as they were in the year ended 31 December 2024. The members have prepared detailed budgets and cashflow forecasts covering the going concern period and with careful management the members are of the belief that the LLP is expected to continue to generate positive cash flows from its operating activities for at least the next twelve months from the approval of these financial statements. On this basis the members believe that it is appropriate to continue to prepare these financial statements on a going concern basis.”

• “In March 2025, MEC Global Partners Europe Inc. as lender of the Intergroup Loan Financing, contributed the outstanding principal and interest amounts of such financing to Europa Capital LLP for the total amount of £2.6m as additional capital. Europa Capital Partners LLP, as borrower, and Europa Capital LLP, as lender, agreed to settle the outstanding loan (principal and interest) in full by way of an offset against a portion of the Intercompany Receivable balance due from Europa Capital LLP to Europa Capital Partners LLP. This transaction does not affect the financial statements for the year ended December 31, 2024, but is disclosed for informational purposes.”
