“The members have assessed going concern due to the reduced trade as a result of the closure and winding up of the football fund. The members have no current intention to close Star Fund Managers LLP. Star Fund Managers LLP is authorised and regulated by the Financial Conduct Authority as an alternative investment fund manager, whereas J. Stern & Co. LLP, an LLP under common control, has a different type of licence. The J. Stern & Co. group have considered, and continue to consider, a number of projects that Star Fund Managers LLP would be the alternative investment fund manager for, but the impact of Brexit mean that such an entity could not be an alternative investment fund established in Luxembourg. The members therefore propose to keep Star Fund Managers LLP running until the group has no such projects in mind and the costs of maintaining it further (being audit and regulatory costs) outweigh the costs of establishing a new alternative investment fund manager.”

• “In September 2024, the members of Star Fund Managers LLP agreed new LLP agreements as part of installing robust corporate governance across the wider J. Stern & Co group. Historically, the J. Stern & Co group been a disparate group of entities and has grown considerably since it was first established over a decade ago and now includes regulated firms in Malta, Switzerland and the United States, in addition to J. Stern & Co LLP as the London based MIFID firm and Star Fund Managers LLP as the London based AIFM. These new agreements would only come into effect once the FCA and the regulators of the entities in Malta and Switzerland have agreed to the change (or such later date as the members may agree) and have been updated more recently with the current amended and restated version dated 29 April 2025. Such consent of the regulators has not yet (as at 24th July) been obtained.”
