• “On 17 July 2025, a related management entity to the LLP executed a £12 million GP facility agreement with HSBC Innovation Bank Limited, comprising a £10 million term loan and a £2 million revolving credit facility (RCF), with a five-year term. While the LLP is not a direct borrower under the facility and will not carry any balances related to this loan, it is included as an obligor solely due to its role in the management fee flow structure. The LLP does not assume financial liability but is named under the facility documentation to facilitate the operational management of the fee streams through the group structure. This event is considered a non-adjusting subsequent event, occurring after the period-end but before the approval of these financial statements. Although it does not affect the conditions existing at the balance sheet date, it is disclosed to provide a complete view of post-period financial arrangements impacting related entities under common control and the broader Exponent group structure.”
