“The financial statements have been prepared on the going concern basis, notwithstanding the net current liability position on the Company's statement of financial position, which the directors believe to be appropriate for the following reasons. The Company will have sufficient funds, through the revolving credit facility provided by Kering Finance, to continue operations and to meet its liabilities as they fall due. Furthermore, the Company has obtained a letter of support from Kering S.A. which provides support to the Company, such that the Company is able to operate as a going concern and to settle its liabilities as they fall due. This includes not seeking repayments of amounts advanced to the Company by Kering S.A. unless adequate alternative financing has been secured by the Company and advancing further amounts to the Company as required by the Company. This support has been provided for a minimum period of 12 months from the date of signing of the financial statements. Based on this undertaking, the directors believe that it remains appropriate to prepare the financial statements on a going concern basis. There has been no material uncertainty identified which would cast significant doubt upon the Company's ability to continue using the going concern basis of accounting for at least the 12 months following the approval of this Annual Report.”

• “Kering Beauté UK Limited initially acquired 100% of the share capital of Chenal I Limited, a holding company incorporated in Jersey, on 17 October 2023. As part of several restructuring steps following the acquisition, Chenal I Limited was wound up via a members' voluntary liquidation on 10 April 2024. During the liquidation process, Chenal I Limited made an in-specie distribution of 100% of the share capital held in Chenal II Limited to Kering Beauté UK Limited. Chenal II Limited, a holding company incorporated in the UK, is also undergoing voluntary liquidation as part of the restructure. The liquidation of Chenal II Limited is expected to conclude in 2025. Chenal II Limited made an in-specie distribution of 100% of the share capital held in Fontaine Limited to Kering Beauté UK Limited on 18 December 2024.”
