- “On 1 October 2024 BHFS Holdings Limited subscribed for 159,722,222 additional ordinary shares in its subsidiary undertaking BlueTang Holdings Pty Ltd. Consideration for the shares was by way of waiving an existing intercompany debt and accrued interest due from BlueTang Holdings Pty Ltd.”
- “During the year ended 31 December 2024, BHFS Holdings Limited recognised an impairment loss of $44m (2023: $43m) on the investment held in BlueTang HoldCo Pty Ltd. This was driven by two factors as follows: 1. As a result of the debt recapitalisation in October 2024 described above, the investment held by BHFS Holdings Limited in BlueTang HoldCo Pty Ltd had increased in value, whilst the performance of the underlying business in Australia remained largely unchanged. 2. In addition, the fair value of the Australian childcare business is based on a cash flow model calculated in Australian Dollar (AUD). Since the functional currency of BHFS Holdings Limited is USD, the conversion of the fair value of the Australian business into USD has resulted in an additional impairment driven by unfavorable exchange rate.”
