“The directors have prepared financial projections which indicate the company can continue to operate as a going concern. These projections cover the 12 months from the signing date and reflect known and expected impacts on the business over this period. The Directors are satisfied that the company is in a position to meet its liabilities as they fall due over the next 12 months. The directors have received a Letter of Support from Hercules Topco Limited confirming that support will be provided to Hercules Bidco Limited for the period to 30 June 2026. Third party loans are not repayable until September 2026 and therefore do not impact the going concern assessment for the period to 30 June 2026. The Directors are satisfied that the company is in a position to meet its liabilities as they fall due over the next 12 months. On this basis, the directors consider it appropriate to prepare the financial statements on a going concern basis in order to give a true and fair view and that no material uncertainty in respect to going concern has been identified.”
