“The financial statements of the Company have been prepared on the going concern basis. The Company generated a net profit of GB£77,094 in current year, however the total liabilities exceed the total assets by GB£9,572,714. The Company continues to have the support of the indirect parent company, PeopleCert Holdings UK Ltd, which has the intention and ability to adopt all the necessary actions to ensure (a) the Company's ability to operate as a going concern in the short-term future (i.e. for 12 months after the date of the auditor's report) and (b) that the Company will meet all its financials or other obligations. Management is currently considering a number of options regarding the Loan Notes which mature in September 2026. Based on the above, the Directors have determined that the going concern basis of preparation remains appropriate.”
