“The financial statements have been prepared on a going concern basis which the director believes to be appropriate for the following reason. The Company is reliant on the support of other Group companies as a result of the way that the group is financed. Global Academic Holdings Ltd has agreed to continue to provide financial and other support to the Company for the foreseeable future to enable it to continue to trade. As a result, having assessed the response of the directors of Global Academic Holdings Ltd, in light of its support and on the basis of his assessment of the Company's financial position and Global Academic Holdings Ltd's financial position, the director has a reasonable expectation that the Company will be able to continue in operational existence for the foreseeable future and continue to adopt the going concern basis of accounting in preparing the financial statements.”

• “Subsequent to the reporting date, on 13 October 2025, the Company's subsidiary GAH Education Holding Limited completed on a transaction that via a new holding company structure, had the effect of disposing of 50% of its investment in AU Bidco Ltd to a third party. As part of the same transaction, the 1.5% minority shareholding in AU Bidco Ltd is being acquired for cash consideration. In connection with this, a capital reduction was transacted, reducing the Company's share capital to £1 and increasing distributable reserves by £346,000,099. This was effected by reducing the nominal value of ordinary shares from £1 to £0.0000000029 such that there were then 346,000,100 shares in issue with a total nominal value of £1.”
