Growthpoint Properties UK Holdco 6 Limited (the Company) was incorporated to hold the investment in C&R which have been disposed of, Growthpoint now holds NewRiver shares for a 9-month lock-up period with no long-term plans to retain them, aligning with the group's strategy to simplify its business; management has no intention to add new UK investments which is contributing to the material uncertainty of the Company's future existence following the completion of the transaction. The financial statements do not include any adjustments that might result if the Company was unable to continue as a going concern.

The transaction was implemented on 10 December 2024 by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006. The transaction resulted in the Company receiving a 1.4% stake in NewRiver and cash that is expected to flow on 20 December 2024.”
