“The Directors believe that the Company has sufficient liquidity to meet its obligations as they fall due based on the ongoing financial support from its intermediate parent undertaking, Regional 2021-1 Limited. Obligations related to loans issued are dependent on the needs of the issuer and are subject to an on-demand repayment clause. However, the issuer, being the intermediate parent Regional 2021-1 Limited, has provided assurance that on-demand repayments will not be requested within the following 12 months. Obligations related to trade payables will be assisted by financial support provided by Regional 2021-1 Limited as and when they fall due, but only to the extent that money is not otherwise available to meet such liabilities. Therefore, the Directors believe that it remains appropriate to prepare the Financial Statements on a going concern basis of preparation.”

• “In July 2024, a sale and purchase agreement was entered into between Chorus Aviation Inc. and HPS Investment Partners, LLC ("HPS") to sell all of Chorus Aviation Inc.'s limited partnership interests in Ravelin Holdings L.P., the holder of the E Certificate issued by Regional 2021-1 E Holding Limited, who are deemed to be the controlling party of the ABS. The acquisition was subject to applicable regulatory approvals and customary completion requirements and closed in December 2024.”
