Material uncertainty over going concern
The financial statements are prepared on a going concern basis notwithstanding that the company is in a net liability position of £2.2m for the year to 31 December 2023 (2022: £2.6m). At the time of the signing of the accounts, the immediate shareholder of the Company, Redefine Dunstable Limited is currently in negotiation for a change of ownership of the Company, through a subsidiary disposal from the wider Brightbay group, as described per note 11. As part of the disposal, the Directors have agreed that a proportion of the shareholder funding of £7.1m, which drives the net liability position, will be waived and the acquiror will repay the remaining balance as part of the sale and purchase agreement. Following completion of the disposal, the current Directors will have no oversight over the operations of the Company, including whether the Company continues to operate as a property holding company.
