“The Director has undertaken a comprehensive review of the Group's going concern position, taking into account its financial performance, secured projects, available funding, and broader strategic outlook. The Group has recorded a positive profit after tax for the last three consecutive financial years, demonstrating sustained improvement in operational and financial performance. During the year, the Group successfully delivered and secured several significant large projects. These include the inaugural F1 Grand Prix in Las Vegas, the Paris 2024 Olympics, the ICC T20 World Cup stadium in New York, and a multi-year hospitality structure rental contract for the F1 Grand Prix in Jeddah. Most notably, the Group was awarded two major contracts for the FIFA World Cup 2026 in Toronto. These contracts relate to the expansion of seating capacity and the construction of temporary hospitality structures at BMO Field Stadium, which further strengthens the Group's position in global sports infrastructure. These achievements demonstrate the Group's consistent ability to deliver high-profile, complex projects and provide a solid platform for future revenue and financial stability. The Group's financial forecasts extend through to March 2027 and include assessments under reasonable downside scenarios, taking into account both internal operating risks and wider market conditions. These forecasts reflect prudent assumptions and indicate that the Group expects to have sufficient liquidity to meet its obligations throughout the forecast period. The Director considers this to be a sound basis for assessing the Group's ongoing financial resilience and viability. The Group's capital position remains strong with HSBC's continued relationship with the Group reflects long-standing lender confidence in Arena’s management and strategic direction. In addition, the Group has access to an unutilised $35m accordion facility, providing substantial financial headroom to manage any unforeseen obligations or growth opportunities. Subsequent to the Balance Sheet date, in April 2025, Modon Holdings PSC, a subsidiary of the existing ultimate parent company, The Royal Group, acquired 100% of the issued share capital of Theta Bidco Limited, the immediate parent company of Arena Events Group Limited. The management views the change in shareholders as a strong endorsement of Arena’s business model, strategic vision, and long-term potential. With the backing of a well-capitalised and aligned shareholder, the Group is expected to benefit from enhanced regional support, increased strategic flexibility, and meaningful operational synergies. Considering these factors, the Director has a reasonable expectation that the Group has adequate resources to continue in operational existence for the foreseeable future and thus continue to adopt the going concern basis of accounting in preparing these financial statements.”
