“The directors adopt the going concern basis in preparing the financial statements. This is because the directors, after making enquiries and specifically considering the implications of the ongoing geopolitical events and the wider economic issues arising from these, and following a review of the Company's forecasts for 2026 and 2027 including cash flows and borrowing facilities, in particular, the fact that the parent company has given an undertaking not to request repayment of the amount owed to it for at least 12 months from the date those accounts are signed, consider that the Company has adequate resources to continue its operation for the foreseeable future.”

- “On 8th August 2025 the Company acquired an 8.3% preferred equity stake, via a special purpose investment vehicle, RSP/BP Marsh Gambit Investco LLC, in Gambit Risk Finance LLC ("Gambit Re"). Gambit Re is a newly established reinsurance vehicle for selected underwriting programmes within the underwriting arm of the Company's existing investment, XPT Group LLC ("XPT"), called Platinum Specialty Underwriters ("Platinum"). The Company has committed up to USD 5,000,000, of which USD 1,875,000 (£1,392,086) was funded on completion.”
- “On 1st September 2025 the Company acquired a 35% equity stake in XPT Producer Co LLC ("XPT Producer Co") for nominal consideration of USD 3,500 (£2,582). XPT Producer Co is a new platform established to recruit experienced, revenue-generating producers in support of XPT's growth strategy. This initiative provides XPT with the ability to accelerate its expansion through the addition of high-quality producers, enhancing both operational and financial flexibility. The Company has also provided XPT Producer Co with a loan facility of up to USD 12,500,000 over two years, of which USD 3,500,000 (£2,581,600) was drawn down on completion, with a remaining undrawn facility of USD 9,000,000 (c.£6,700,000) at the date of this report.”
