“The company is ultimately owned by Chart Industries, Inc. ("the group"). As a consequence, the company depends, in part, on the ability of the group to continue as a going concern. The directors have considered the company's funding relationship with Chart Industries, Inc, to date and have considered available relevant information relating to Chart Industries, Inc. ability to continue as a. going concern. The directors have a reasonable expectation that the company has adequate resources to continue for the foreseeable future. A formal letter of support has been received from Chart Industries, Inc. indicating it will continue to fund the company, should it become necessary, to enable the company to continue, for a period of at least 12 months from the date of approval of these financial statements. The directors have also considered the impact of the acquisition of Chart Industries, Inc. by Baker Hughes and the likely consequences of completion during the going concern period, and have concluded that this does not present a material uncertainty. Thus, the directors continue to adopt the going concern basis in preparing the financial statements.”
Significant events
- “On 29 July 2025, Chart Industries, Inc., our ultimate controlling company, and Baker Hughes announced that they have entered into a definitive agreement under which Baker Hughes will acquire all outstanding shares of Chart's common stock for $210 per share in cash, equivalent to a total enterprise value of $13.6 billion. The transaction combines two highly complementary portfolios to create a leading energy and industrial technology company. This strategic combination is expected to deliver $325 million in annual cost synergies by the end of the third year, enhancing operational efficiency across manufacturing, supply chain, R&D and customer support. With shared values around engineering excellence and global scale, this transaction advances Chart's mission to address critical energy challenges. The deal has received unanimous recommendation from both boards and is expected to close by mid 2026, pending customary approvals.”

Each % is (latest − prior) ÷ |prior| for the line item as filed. The comparison is only shown when the latest and prior accounts cover broadly equal-length periods — short or long stubs (typical around incorporation or a year-end change) are suppressed rather than misrepresented. Lines a company doesn't report are omitted. About these numbers
