“The directors continually review the group's forecast cash flows, covenants, and liquidity requirements, and have a reasonable expectation that the group has sufficient resources to continue in operational existence for the foreseeable future, including taking steps to ensure suitable funding facilities will be in place. Furthermore, the group's shareholder, Growth Capital Partners Fund IV LP (supported by Growth Capital Partners LLP as manager of various funds), has expressed their willingness to provide the necessary financial support, including mitigating potential future covenant breaches, in an appropriate form should the need arise. Growth Capital Partners Fund IV LP and other shareholders have also agreed to support the group in the event of any potential covenant breaches of shareholder loan notes. On the basis of this indication of support, the group continues to adopt the going concern basis of accounting in preparing the annual financial statements.”
