“In reaching their view on the preparation of the Company's financial statements on a going concern basis, the directors are required to consider whether the Company can continue in operational existence for the forthcoming twelve months from the date of approval of these financial statements. In considering this requirement, the directors have considered the three year business plan and three year budgets. These show that the Company should continue to be cash generative and have sufficient resources to meet its business objectives, both in the short term and in relation to its strategic priorities. The Company has a net shareholders' funds deficit and is in a net liabilities position. The majority of liabilities are intercompany balances with fellow Group companies including STM Group Pic. Whilst technically repayable on demand STM Group Pic has stipulated that it will not seek repayment if the Company is not in the financial position to settle the balance. Having considered the above, and the commitment given by the STM Group Plc, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the forthcoming twelve months from the date of approval of these financial statements and accordingly the directors have continued to adopt the going concern basis in preparing the financial statements.”
