Material uncertainty over going concern
Management is still in discussion with the shareholder regarding potential options such as converting some of the loan instruments into equity or transferring the investment portfolio to them in a debt for asset swap. There is also the option of selling some of the investment properties as and when the loans would be recalled. Currently, the investment property portfolio, valued at £232.4m, is valued on a going concern basis and does not reflect any costs which would be payable should the properties need to be sold at short notice. Given this basis of valuation, we were unable to conclude whether the investment property portfolio, which constitutes a significant proportion of the accounts, is materially misstated. Moreover, we have not been able to gather the appropriate audit evidence on the ability of the company to repay its liabilities when they become due and therefore the appropriateness of the going concern basis adopted in these financial statements.
