“As part of the going concern review, the directors have reviewed the forecast cashflows and liquidity of the company. Considering the fact that the Company is a non-trading entity, the Ultimate Parent Company Driven Brands Holdings Inc. has provided the directors with an undertaking that for at least twelve (12) months from the date of approval of these financial statements it will provide financial support to ensure that the Company is able to meet its current and future obligations as and when they fall due. Accordingly, there is a reasonable expectation that the Company will have adequate resources to continue in operational existence for the foreseeable future period of at least twelve (12) months from the date of the approval of these financial statements. Based on these assurances the financial statements of the Company have been prepared on a going concern basis.”
