Material uncertainty over going concern
The principal activity of the Company is the maintenance of intellectual property rights. In addition, the Company provides research and development services to other group companies. The Company, which is a member of the Reckitt group of companies (the "Group"), carries out the strategy intended by the Company Directors. As part of the group restructuring plan, the business will start the wind down of the operations in late 2025. The entity is not expected to have any operations past 12 months from the date of approval of the financial statements. Accordingly, the directors have not prepared the Financial Statements on a going concern basis. The effect of this is explained in Note 1 to the Financial Statements.

As a result, the business will start the wind down of the operations late in 2025. In a period of 12 months from the signing the financial statements, the expectation is that the entity will no longer own any material assets and the primary operations of the entity will cease.”
- “On 16th of December 2024, the Board approved the entry by the Company into a Tripartite Novation and Confirmatory Assignment Agreement, which took effect on 2nd January 2025. The agreement novates certain intragroup licensing arrangements relating to the intellectual property rights in the LYSOL and GLEN 10/20 brands to remove the Company from the middle of the licensing structure, so that the licence of those brands flows directly from Reckitt Benckiser LLC and Reckitt Benckiser (ENA) B.V.”
