“The Directors have sought assurances from CPS Performance Materials Holding, LLC that it shall provide such sufficient financial support to enable the Company to trade and to discharge its debts and liabilities for at least 12 months from the date of approval of the financial statements for the year ended 31 December 2024. GEO Specialty Chemicals, INC. will not request repayment of any sums owed to them as at 31 December 2024 during the period of 12 months from the date of approval of the financial statements for the year ended 31 December 2024 of the Company to the extent that the Company is unable to discharge all its debts and liabilities as they fall due. Overall they have concluded that the company will have adequate resources and facilities to continue in the foreseeable future and for this reason, continue to adopt the going concern basis in preparing the financial statements.”
