“The Group continues to generate positive adjusted EBITDA and remains cash generative. The Group maintains a robust net current asset position (when excluding the technical reclassification of long-term debt) and an invoice discounting facility with Sonovate Limited of up to £10m (subject to the value of receivables in the facility) further strengthens its working capital position. The Directors have prepared detailed cash flow forecasts through to 31 December 2026, including downside scenarios reflecting potential trading challenges, including reductions in fee earner yields and headcount. These forecasts demonstrate that the Group and the Company expect to remain compliant with their revised financial covenants and to have sufficient liquidity to meet their obligations as they fall due. Eurazeo and Baird have confirmed their ongoing intention to work collaboratively with the Group to provide the flexibility required to support the business and the Directors are confident in the Group's ability to manage its liquidity and operational risks effectively. Accordingly, the Directors consider it appropriate to adopt the going concern basis in preparing the financial statements.”
