- “After the year end and following legal advice taken by the Directors it is noted that in the financial statements of the company for the years ended 31 December 2018 to 31 December 2024 inclusive, the company made a non-permissible distribution to other Foundever Group companies within the United Kingdom in respect of group surrendered losses for which no consideration was received. The amount of losses was £14,762,629 and the non-permissible element of the distribution amounted to £3,161,559 being the market value of these losses. The years ended to 31 December 2023 inclusive were corrected for in the year to 31 December 2025 whereby amounts equal to the non-permissible element of the distribution were paid by the recipient of the group surrendered losses. Any further corrective action will be taken in the year to 31 December 2026.”
