“The Company's principal risk exposure is in relation to the loan provided to the subsidiary, Zero C Holdings Limited. The Company's ability to continue as a going concern is linked to the performance of the subsidiary and its ability to service the loan provided by the Company. On 23rd March 2026 the company agreed an extension to the loan facility with its parent company and on lending agreement with its subsidiary for a total of £45m until 31st March 2029. The directors have received a letter of support from the Places for People Group Limited, confirming that it will provide financial support to enable the company to meet its obligations as they fall due for at least 12 months from the date of approval of these financial statements. Consequently, the directors are confident that the company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.”
