“The Company's services are provided through annual membership arrangements with large companies operating in the biopharmaceutical industry. Payment terms for membership fees with the majority of members are annually in advance of renewal periods. As a result, the Company is highly cash generative and at 31 December 2024 cash balances were £5.0m. Management have prepared group financial forecasts for a period covering at least 12 months from the date of signature of these financial statements. In preparing the forecasts, management have considered historical membership attrition rates, projections of future membership fee increases, and the future expected growth rates of the Company. A sensitised version of the forecasts was also prepared, which considered a set of revenue downside scenarios, to demonstrate the impact on cash and lending covenant headroom. As the Company is the main trading entity within the Agora Topco group, consideration has also been given to the capacity of the group to meet the interest payments due on its third-party term loan and its ability to adhere to the lending covenant. The directors have received confirmation from the Group that it will provide ongoing financial support for a period of no less than 12 months from the date of signing of the financial statements in order for the Company to meet its liabilities as they fall due. Accordingly, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future and have concluded that it is appropriate to prepare these financial statements on the going concern basis.”
