“The directors believe it is appropriate to prepare the financial statements on a going concern basis, which assumes that the Company will continue in operational existence for the foreseeable future and at least the next 12 months from the date of the approval of these financial statements. In formulating this assessment, the directors have taken into consideration the potential impact of the current economic environment upon the Company and have carried out forecasts which have determined that there is no significant risk to their continuation as a financial and operational going concern. A cashflow forecast for the period to 31 December 2026 has been prepared showing that sufficient funds will be available to meet the Company's liabilities as they fall due. The directors have also considered compliance with the covenants attached to the Company's senior debt facilities which are forecast to remain compliant. As the Company is in a net current liability position of £80,211,974, which is driven by £93,398,607 of amounts owed to group undertakings, the Company has received a letter of support from its ultimate UK parent, SOF 12 Robinson Holdco Limited. SOF 12 Robinson Holdco Limited has confirmed that it is forecast to have the financial resources necessary to provide support to the company and intends to do so for a period of at least 12 months from the signing of these financial statements. Support will include ensuring the Company's ability to meet its short-term liabilities as they fall due and managing the amounts owed between members of the group headed by SOF 12 Robinson Holdco Limited such that no amounts due to group undertakings are called where the payee does not have the financial resources necessary to make payment. Due to the above, the directors are satisfied that it is appropriate for the financial statements to be prepared on a going concern basis.”
