“The financial statements have been prepared on the going concern basis which the directors believe to be appropriate for the following reasons The Company had net current liabilities of £393,218,275 at 30 June 2025 (2024 £411,168,882) including a shareholder loan from the Company's immediate parent, Knight Dragon Limited, of £434,164,988 (2024 £410,949,067) which is repayable on demand The Company made a loss of £36,395,427 during the year (2024 loss £35,726,336) The Group has prepared cash flow forecasts in order to assess going concern Those forecasts take into account the £193,725,994 (2024 £42,727,137) of 'Other interest-bearing loans and borrowings' falling due within 12 months after the reporting date Of this amount, approximately £62,000,000 of loans was refinanced on 21 Octobers 2025, per note 27 subsequent events, with the remaining balance of approximately £131,725,994 being repaid from contracted sale proceeds within the next 12 months The forecasts indicate that, based on current expectations and taking account of reasonably possible downsides, the Group and Company are dependent for their working capital on funds provided by the Company's immediate parent Knight Dragon Limited, which is in turn dependent on the working capital provided by its own parent company The parent company of Knight Dragon Limited has undertaken not to seek repayment of the amounts due and, should the need arise, to provide necessary funding for the continuing operations of the Group and Company, during the going concern assessment period in addition to parental support the KDIL group has the ability to raise additional funds through asset sales and/or additional borrowings to provide further working capital should it be required As with any company placing reliance on other entities for financial support, the directors acknowledge that there can be no certainty that this support will continue although, at the date of the approval of these financial statements, they have no reason to believe that it will not do so Consequently, the directors are confident that the Group and Company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basıs”
