- Going concern
- Affirmed
“The directors have prepared the financial statements on the going concern basis as they do not intend to liquidate the company or to cease its operations, and as they have concluded that the company's financial position means that this is realistic. They have also concluded that there are no material uncertainties that could have cast significant doubt over its ability to continue as a going concern for at least a year from the date of approval of the financial statements ("the going concern period").”
Significant events
- “During the year the Company sold a factory to Malton Holdings Ltd, a company under common ownership with the Symphony group, for £26,000,000. This resulted in a profit on disposal of 4,553,000. The proceeds from the sale were used to repay some of the intercompany balance between the Company and The Symphony Group plc.”
- “During the period the directors reviewed the company's policy of surrendering tax losses to fellow group companies for nil consideration. It was determined that this had resulted in unlawful distributions as the company had a deficit of distributable reserves, meaning that non-arm's length transactions of this nature should not have been entered into. The issue has been remediated by the parent company making a payment of £889,000 to the company currently outstanding on intercompany account, representing the tax value of the relevant losses surrendered. Of this, £431,000 related to the year ended 31 December 2023 and this has been accounted for as a restatement of the comparative profit and loss in these financial statements, with the remainder adjusted against opening retained earnings as at 1 January 2023, The impact of the restatement is as follows:”

Each % is (latest − prior) ÷ |prior| for the line item as filed. The comparison is only shown when the latest and prior accounts cover broadly equal-length periods — short or long stubs (typical around incorporation or a year-end change) are suppressed rather than misrepresented. Lines a company doesn't report are omitted. About these numbers
