“The company had net liabilities of £149,311 (2023: £94,405) as at 31 December 2024. The financial statements have been prepared on a going concern basis which the directors consider to be appropriate for the following reasons. The directors have prepared cash flow forecasts for a period of at least 12 months from the date of approval of these financial statements which indicate that, taking account of reasonably possible downsides, the company will have sufficient funds through sale or development of land to meet its liabilities as they fall due 12 months after the approval of these financial statements. If the entity is unable to meet its liabilities as they fall due, Prologis, Inc. ("the ultimate controlling party") indicated its intention to continue to make available such funds as are needed by the company for the period covered by the forecasts. The company is in receipt of a letter of support from Prologis, Inc. indicating its intention to provide continued financial support to the company for at least 12 months from the date of the approval of the financial statements. As with any company placing reliance on other group entities for financial support, the directors acknowledge that there can be no certainty that this support will continue. However, at the date of approval of these financial statements, they have no reason to believe that it will not do so. Consequently, the directors are confident that the company will have sufficient funds to continue its business and therefore have prepared the financial statements on a going concern basis.”
