“The Company's position in the Dignity Group structure is such that it sits outside of a sub-group of companies which form part of a Securitisation Group established in connection with the Dignity Group's Secured Notes. The Company operates as part of the Dignity Group Holdings Limited group ('Dignity Group'). The ability of the Dignity Group to meet its obligations under the A Notes and B Notes is entirely dependent on the ability of members of the Securitisation Group to meet their obligations under loan agreements between those entities within the Securitisation Group. The day-to-day liquidity requirements of the Company are sourced either from within the Company or, where necessary, from the continued support of certain other entities within the Dignity Group, and from its two ultimate majority shareholders, Castelnau Group Limited and SPWOne V Limited. In order to assess the ability of the Company to continue as a going concern the Directors of the Company have obtained the assessment performed by the directors of Dignity Group Holdings Limited and therefore considered the ability of the Dignity Group and its ultimate majority shareholders to continue as a going concern and to provide financial support to the Company as required. The financial performance of the Dignity Group Holdings Limited and the Securitisation Group has been forecast for a period through to 30 June 2026 (the 'going concern period') and this forecast ('base case') has been subjected to a number of sensitivities in a severe but plausible downside scenario. Non delivery of approved annual accounts (without a qualification) within 150 days (26 May 2025) of the period end; and Failure to pay any debt service requirements. As noted above, based on the base and severe but plausible scenarios there is no breach that is not remediated through an equity cure. Having considered all the above, the Directors remain confident in the long-term prospects for the Dignity Group and its ability to continue as a going concern for the period to 30 June 2026.”
