“While the Company faced challenges in 2024, including a decline in profitability, the directors have reviewed the Company's financial position, trading outlook, and funding requirements. As part of this assessment, the directors received a letter of support from the ultimate parent company, Cheil Worldwide Inc., confirming its intention to provide financial and operational support for at least 12 months from the date of approval of these financial statements. Based on this and the availability of resources, the directors consider it appropriate to prepare the financial statements on a going concern basis.”

• “Subsequent to the reporting date, the Company approved an intra-group merger with its wholly owned subsidiary, Beattie McGuinness Bungay Ltd, as part of a group restructuring. The transaction is expected to complete in the second half of 2025. The transaction will be effected at net asset value, which is estimated to be approximately £827,000 based on the subsidiary's latest management accounts. This estimate remains subject to finalisation. Upon completion, all assets, liabilities, and operations of the subsidiary will be transferred to the Company. The transaction has no impact on the financial results for the year ended 31 December 2024 and will be reflected in the 2025 financial statements.”
