- “During 2024, an initial review was undertaken of the refurb, manufacturing & distribution activities of the Safetykleen Group. An internal HR consultation period was entered into to determine the future of the business and it was concluded that the trade and assets of Technowash Ltd would be transferred to its immediate parent company Safetykleen UK Ltd in 2025. In October 2025 the building lease in which Technowash operated was handed back to the Owner as all manufacturing activity has now ceased. As a result, Technowash Ltd will be dissolved and the financial statements for the year ended 31st December 2024 have been prepared on a basis that reflects the expected realisation of assets and settlement of liabilities other than in the normal course of business.”
- “As part of the Group corporate simplification process which commenced in 2024, the amounts owed to Group undertakings were novated to Safetykleen U.K. Limited, its immediate parent company, in consideration for the Company agreeing to pay the aggregate amount outstanding of £2,186,948. Subsequently, the Company's immediate parent company subscribed for shares equal to £2,186,948 in Technowash Limited and it was agreed that the subscription price payable be satisfied by the way of offset against the consideration payable for the amounts owed to Safetykleen U.K. Limited.”
