- “On 20 October 2025, Pacific (BC) Bidco Limited executed an amendment of its Senior Facilities Agreement ("SFA"), effective 10 September 2025. The transaction converted $131,576,632 of existing Term B loans in Pacific (BC) Bidco Limited into equity in Pacific (BC) Topco 3 Limited, represented by 42,960,000 Ordinary shares and 121,120,397 Preference shares. The amendment also reduces the margin on the remaining Term B loans to by 2.5% to 4.5% and extends the existing USD $40m Revolving Credit Facility ("RCF") maturity from 9 June 2026 to 30 June 2028, improving the short to medium term cash flows of the Group.”
