“On 31 December 2024, the Company is in a net current liabilities position of £40,776 thousands (2023: net current assets £85,558 thousands) and net assets position of £443,019 thousands (2023: £418,553 thousands). The Company's forecasts and projections, taking account of reasonably possible changes in trading performance, show that the Company should be able to operate within the level of its current cash reserves and intra-group borrowings. After making enquiries, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. The company has been provided with two interest-free loans to manage its long- and short-term credit needs. The ultimate parent company has also provided a letter of support to ensure they will not request the repayment of the loans in the next 12 months from the date of the authorisation of the financial statements. The Company therefore continues to adopt the going concern basis in preparing its financial statements.”

- “In February 2024, the Company completed the transfer of the principal asset of Harbour Exchange Propco Limited, comprising land and buildings with a carrying amount of approximately £176 million. As part of the transaction, the intercompany lease was terminated, resulting in the derecognition of the associated right-of-use asset and lease liability. The lease liability of £110 million and right-of-use asset of £85 million were extinguished simultaneously with the transfer of the property, with the difference applied as a reduction in the carrying amount of the acquired asset. The transfer occurred shortly after the initial acquisition and was structured such that the intercompany loan balance of £108 million was deemed settled, and the carrying amount of its investment in Harbour Exchange Propco Limited was reduced by £68 million through a return of capital distribution, fully reducing the carrying value of the Company's investment in Harbour Exchange Propco Limited to nil. No cash consideration was exchanged as part of this transfer.”
