“The Directors have assessed the ongoing business activities and the factors likely to affect the future development, performance and financial position of the Company for at least the next 12 months from the date of signing the financial statements. As at 31 December 2024, the Company has net current assets of £12,150,000 and net assets of £12,214,000 and can therefore meet its short and long-term obligations as they fall due. After making enquiries, the Directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for at least the next 12 months from the date of signing the financial statements. Additionally, the Company is a subsidiary of WPP plc and is participates in the overall WPP plc financing arrangements via the cash pooling arrangements. The conditions of these cash pooling arrangements, which are described in note 15, were considered by the Directors when assessing the appropriateness of the going concern basis of the Company. Further, WPP has prepared forecasts and projections that take account of (i) reasonably possible declines in revenue or increases in costs arising from severe but plausible downside scenarios; and (ii) the results of reverse stress tests to qualify the level of revenue declines compared to 2024, taking into account cost mitigation actions which could be implemented. These include the Company's forecasted cash flows. The Directors therefore continue to adopt the going concern basis of accounting in preparing the financial statements.”
