“The Financial Statements have been prepared on a going concern basis. In determining the appropriate basis of preparation of the Financial Statements, the Directors considered whether the Company can continue in operational existence for the foreseeable future. The trade of the Company along with associated trading assets and liabilities were transferred to fellow subsidiary GXO Logistics UK Limited and GXO Logistics Services Ireland Limited on 1 July 2025. The Company retained investments in subsidiaries and group balances, some of which generate interest income for the Company. Furthermore, the Company continues to operate as a partner to a joint venture arrangement. On the basis of their assessment of the Company's financial position the Directors have a reasonable expectation that the Company will be able to continue operational existence for the foreseeable future. Thus they continue to adopt the going concern basis of accounting in preparing the annual financial statements.”

- “Since the year end, the Group enacted a business transfer agreement effective from 1 July 2025, resulting in the trade and assets, except shares held by the Company in its subsidiaries, being transferred to the fellow subsidiary GXO Logistics UK Limited. Following the transfer of trade and assets, the Company retained its subsidiary investment and continued as a joint venture partner of Clicklink. Financial transactions will continue with respect to earning interest on certain outstanding loan receivables and possible future investment income. In addition, effective from 1 July 2025, the business assets, liabilities and employees of the Irish branch will be transferred to GXO Logistics Services Ireland Limited.”
