“The Company is in receipt of a letter of support from its ultimate parent company, CLS Holdings plc, (the 'Ultimate Parent Company') confirming that adequate resources will be made available to the Company to allow it to meet its liabilities as they fall due for the period until 31 July 2026, subject to the Company continuing to be a wholly owned direct or indirect subsidiary of the ultimate Parent Company. The Company's ability to meet future liabilities depends on the liquidity of its Ultimate Parent Company, and in turn, the Group it heads (the 'Group'). The financial statements of the Group and the Ultimate Parent Company for the year ended 31 December 2024 include a material uncertainty related to going concern as they are reliant upon their ability to both refinance their debt maturing and to complete a number of property disposals in the going concern period, which are dependent on circumstances outside their control. This may have a direct impact on the ability of the Ultimate Parent Company to provide the required financial support to the Company. Whilst the Directors of the Ultimate Parent Company remain confident that a combination of sufficient refinancing and property disposals will be achieved, the timing and value of both the planned refinancing of facilities falling due within the going concern period, and planned property disposals, are outside of management's control. Based on the above, the Company relies on its ultimate parent company for financial support, which is not guaranteed. This indicates that a material uncertainty exists that may cast significant doubt on the Company's ability to continue as a going concern and therefore, the Company may be unable to realise its assets and discharge its liabilities in the normal course of business. Notwithstanding this material uncertainty on the going concern assumption, the Directors are confident that given the Group's track record, the Group and the Ultimate Parent Company's debt falling due for repayment in the going concern period will be refinanced or settled in line with plans, rather than requiring repayment on maturity, or will be extinguished as part of property disposals In the period and consequently, the Ultimate Parent Company will be able to provide the required support to the Company. Therefore, the Directors continue to adopt the going concern basis in preparing these Company financial statements. The financial statements do not include any adjustments that would be necessary if the Company were unable to continue as a going concern.”
