Material uncertainty over going concern
It is the directors' intent that Brighton STM Group Holding Company Limited will continue to act as the holding company for the Group. However, the most significant of its subsidiaries, St. Modwen Homes Limited, was disposed of on 31 January 2025 and it is possible that another of its significant subsidiaries will also be disposed of within 12 months of the date of signing these financial statements. Furthermore, the directors are planning for an orderly transfer of the majority of the remaining assets and services of its other subsidiaries to both third parties and related undertakings. If such plans are completed, the majority, but not all, of the Company's subsidiaries would be put into liquidation, continuing the corporate simplification activity that has taken place during 2024. At that point, the Company would cease to trade, although this activity is not expected to complete within the next 12 months from the date these financial statements are signed. Accordingly, the going concern basis of preparation has not been applied in these financial statements. This change in the basis of preparation does not alter the directors' expectation that the Company will have access to sufficient resources to continue to meet its obligations as they fall due for the foreseeable future, including after any potential future cessation of trade. To support the directors in their assessment, the Company has received a letter from an indirect parent undertaking, Brighton Super Topco Sarl, confirming their, or one or more of their subsidiaries' intent and ability to provide financial support to the Company in the form of facilitating and authorising further funding as requested by the Company to a level that would allow the Company and its subsidiaries to continue to meet their financial liabilities until and including at least 31 December 2026.
