  On 9 December 2024, it was announced that The Interpublic Group of Companies, Inc ("IPG") board of directors unanimously approved a definitive agreement pursuant to which Omnicom Group Inc. ("Omnicom") will acquire IPG, the Company's ultimate parent undertaking and controlling party. These conditions create a material uncertainty which may cast significant doubt upon its ability to continue as a going concern for the coming 12 months from the date of the directors signing these financial statements.
