  Material uncertainty over going concern

  The Company achieved a profit before tax of £945,580 during the financial year under review and held cash reserves at the end of the financial year of £6,824,359. Based on the Company's budget and projections, the Directors have reasonable expectations that the Company has adequate resources to continue in operational existence for a minimum of 12 months from approval of the financial statements. The Directors have therefore concluded that is appropriate to prepare the financial statements on a going concern basis. On 19 October 2025, Kering, the Company's ultimate controlling party, announced that it is entering a long-term strategic partnership in luxury beauty and wellness with L'Oréal. This binding agreement encompasses the acquisition of the House of Creed by L'Oréal, which includes the Company, with completion expected in the first half of 2026. While the Directors do not believe that the anticipated change in shareholder ownership will affect the Company's ability to continue as a going concern, they acknowledge that the ultimate outcome of the transaction is outside its control. The Directors do not therefore have insight into the future funding or future continued trade of the Company in its current form under the proposed new ownership and therefore also acknowledge that this results in a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern. These financial statements do not contain any adjustments that may arise if they were not drawn up on a going concern basis.
