- BDO LLP
- Audit opinion
- Unqualified (clean)
- Going concern
- Affirmed
“In auditing the financial statements, we have concluded that the Directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.”
Significant events
- “During 2024 Besana UK reduced its share capital from £9,100,000 to £910,000 by reducing the value of shares from £1 to £0.10 via special resolution.”
- “Subsequent to the reduction of capital and as a result of wishing to simplify the structure of the existing group, the company transferred entire investment of V.Besana SpA via distribution in specie to Importaco Mediterranean Nut (63%) SL and RC Holding S.R.L. (37%).”
- “Pillar Two legislation has already been adopted in most of the jurisdictions where the Group operates such as Italy, Portugal, Poland, the United Kingdom and Turkey. As the Group has passed the EUR 750 million threshold during the financial years 2023 and 2024, it will be within the scope of Pillar 2 from the next financial year starting 1 January 2025.”

Each % is (latest − prior) ÷ |prior| for the line item as filed. The comparison is only shown when the latest and prior accounts cover broadly equal-length periods — short or long stubs (typical around incorporation or a year-end change) are suppressed rather than misrepresented. Lines a company doesn't report are omitted. About these numbers
