Material uncertainty over going concern
On 24 September 2025, the company entered into an agreement to sell Computershare Loan Services UK (which includes Computershare Services Limited) to Advantage Odyssey Limited (a Pepper Advantage Limited company). While the transaction remains subject to the necessary regulatory approvals, it is expected to complete within 12 months from the date of the approval of the financial statements. The directors are satisfied that the company will continue to meet its obligations as they fall due for the foreseeable future and have a reasonable expectation that the acquirer will continue to support the business and will not materially alter the business in the next 12 months. However, the current directors are not aware of the detailed intentions for the company by the acquiring board of directors. As such, these conditions indicate the existence of a material uncertainty which may cast significant doubt over the company's ability to continue as a going concern.
