“In making a judgement regarding going concern, the director has considered the impact of ongoing geopolitical conflicts in Europe and the Middle East on business operations, as well as the macroeconomic environment of inflation, and interest rates in the UK: Specifically, the Company has created detailed cash flow projections for the twelve months from the date of signing of accounts, and these have been reviewed by the Director. Within these projections, the Company has assumed that the UK rate of inflation will be approximately 3.6% over the coming 12 months. Any requirement for short-term financing is provided by the Company's shareholder, ADAMA BV, and there was no need for additional financing during the first half of the following period. UK inflation has continued to be an issue during 2024, where it has been consistently above the UK long term target of 2.0%. Whilst this is more stable than it has been in the recent past, this is having an impact on the operating cost of the business. The director believes that UK inflation will continue to start to move towards the long-term target of 2.0% over the coming 12 months. The director believes that this trend will enable the business to manage ongoing inflationary pressure without a significant impact upon profitability of the business and consequently supports the going concern basis of accounting. As part of the Syngenta Group, the business is part of a wider group structure and, in addition, participates in the ADAMA receivables securitization program. However, the Company is not reliant on either the Syngenta Group or the securitization program as a direct source of long-term working capital funding. Ultimately, overall working capital requirements are funded by the ADAMA Group and, as the directors have no reason to believe that any material uncertainty exists around the ability of the ADAMA Group to continue as a going concern. The directors are confident that this will continue to be the case in the coming 12 months. Any short-term additional funding will be provided by the Company's immediate shareholder, ADAMA BV, and ADAMA BV has confirmed long-term funding commitments are in place from the ADAMA Group. Consequently, the Company continues to adopt the going concern basis of accounting in preparing the financial statements. The director does not believe that the ongoing geopolitical conflicts in Europe and the Middle East will have a significant effect on future operations. As a result, they continue to adopt the going concern basis in the preparation of these financial statements.”
