“Notwithstanding the negative profit and loss reserve of £164,888,000 the company has net current assets as at 31st March 2025 of £159,000 and generated a loss for the year of £29,000, the financial statements have been prepared on a going concern basis which the directors consider to be appropriate for the following reasons. The company meets its day to day working capital requirements from operational cash flows, with occasional drawdowns from the intercompany cash pooling facility, with the group headed by Energy Technologies Holdings LLC, the ultimate parent company. The directors have prepared cash flow forecasts for a period of 12 months from the date of approval of these financial statements which indicate that, taking account of reasonably possible downsides, the company will have sufficient funds through funding from its ultimate parent company Energy Technologies Holdings, LLC to meet its liabilities as they fall due for that period. These funds will be delivered through the intermediate parent company, Exide Holding Netherlands BV. Those forecasts are dependent on Exide Holding Netherlands BV not seeking repayment of the amounts currently due to the group, which at 31 March 2025 amounted to £2,505,000 and Energy Technologies Holdings, LLC providing additional financial support during that period. This additional support is limited to maintain its access to the cash pool arrangements. Energy Technologies Holdings, LLC has indicated its intention to continue to make available such funds as are needed by the company for the period covered by the forecasts and Exide Holding Netherlands BV has also indicated its intention not to seek repayment of the amounts due to the group for the same period. As with any company placing reliance on other group entities for financial support, the directors acknowledge that there can be no certainty that this support will continue although, at the date of approval of these financial statements, they have no reason to believe that it will not do so. Consequently, the directors are confident that the company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.”
