• “After due consideration of the impact on the Principle Group of Global international financial legislation changes, particularly in the USA, China and Europe, the Directors of Principle Global Limited and of its subsidiary companies Principle Italy S.P.A, Principle France SARL, Principle GmbH and Principle Iberia S.I.u, have concluded that there are economic benefits to be achieved from a partial reorganization of the Principle Group with the de-merger of these European businesses to existing Group shareholders. The de-merger and transfer of 100% of the share capital of these companies completed on 16 September 2025 and there are ongoing inter-company collaboration and trading and brand licensing agreements in place, to ensure continuity of all services and supplies to both domestic and Global clients.”
