“The directors have considered the trading position of the Company and its business risks and have prepared a cash flow forecast for a period of 12 months from the date of approval of the financial statements for Caribou Bidco Limited and its subsidiaries which included this entity, including considering a severe but plausible downside sensitised forecast. The Group refinanced its loan facilities in 2024 and at the end of the year had utilised the £52,000k ACF and £4,000k of the RCF to fund acquisition activity. An interest rate hedge is in place, a £390,000k deferred premium cap, to reduce the impact of market interest rates on the Group. The Company is currently in a net current liabilities position but benefits from Group financial strength and funds are provided as required by the Company. A letter of support has been obtained from the directors of Caribou Bidco Limited who have confirmed that they will continue to support the Company and provide any further funds, if required, for a period of a least 12 months from the date of approval of these financial statements. The Directors have reviewed the ability and likelihood of Caribou Bidco Limited to provide the aforementioned financial support and have noted that the support is available if it is needed by the Company.”
